The November 20 bid deadline, the privacy ombudsman question and any buyer for the app or data.

Character.ai filed for Chapter 11 in Delaware on October 12, 2026 (case 26-11603), according to PPC Land’s October 14 report on the court documents.

The Disney bid

  • Disney Worldwide Services is the stalking-horse bidder. It offers $20 million plus transition services for a non-exclusive, perpetual licence to certain IP and claims. It is not buying the platform.
  • Disney’s staff offers total about $180 million over three years, including a $30 million retention pool. Of about 86 full-time staff at the end of September, 66 accepted Disney jobs.
  • Rival bids must reach at least $21.7 million. Bids are due November 20, the auction is November 23 and the sale hearing is November 24.

The company’s position

  • About 12 million monthly active users, roughly $2.5 million a month in ad sales, $59.4 million in cash and losses of about $8.2 million a month in August.
  • It says its 163 million current and past users are not creditors, so notice will go by blog post, website and app.
  • The company said: “The platform will be wound down.”

Not stated

Whether any rival bid will be submitted, what happens to user chat data in a sale, and the final outcome. A separate filing by state attorneys general sets conditions for any buyer of the app or chats.

Our read

A consumer AI product with heavy model costs and modest ad revenue can fail quickly. For teams that collect chat data, the question is what your own terms promise if the business is sold.
